Trusted by the teams that run buy-side diligence

The sell-side challenge

Buyers' technology scrutiny is increasing. Are you ready?

Private equity buyers perform in-depth technical and AI due diligence, often with their own analysis tools. Findings your plan did not account for risk reopening the price or delaying the timetable.

Where buyers focus

Key-person risk becomes a retention clause

See developer and domain concentration, and reduce dependency before the process.

Be ready to evidence your AI claims

Show where AI sits in your product and in your engineering.

Security gaps become closing conditions

Identify every vulnerability and licence issue, with the hours to fix each one.

Technical debt lowers the offer

See how much work your technical debt needs, and decide what to address first.

What a buyer tests

Four questions a buyer asks of your technology.

CodeDD measures each one in your code, the same way a buyer's diligence team will.

Growth

Can the platform carry the growth plan?

See your scalability tier, based on the architecture and deployment setup in your code. Know where the platform needs work before a buyer prices it in.

Measured by

  • Scalability tier
  • Architecture

Speed

Does the team ship fast and securely?

See your deployment frequency and lead time for changes, and how much AI-written code is merged without review. Show a delivery record a buyer can check.

Measured by

  • Deployment frequency
  • Lead time for changes
  • AI code merged unreviewed

Cost

How much engineering time goes to maintenance?

See the split between maintenance and new features, and where technical debt takes the most time. A buyer reads a high maintenance share as a cost they will carry.

Measured by

  • Innovation vs maintenance
  • Technical debt

Risk

What would a buyer's diligence find?

See open vulnerabilities and key-person risk across your codebase. Fix them before the process starts.

Measured by

  • Vulnerabilities
  • Key person dependency

AI due diligence

Buyers look hardest at AI. Show the evidence behind your AI story.

Buyers now test whether the AI in your equity story is built into the product. CodeDD surfaces the signals in your code, from model integration to AI use in engineering, so your technology story is backed by evidence.

From first audit to signing

Measure now. Improve on your terms. Defend the price.

  1. 6 to 12 months before the process

    Measure

Scan your full technical estate and see how it scores against the criteria a private equity buyer applies. Findings are ranked by deal impact and costed in hours.

  2. The technology roadmap

    Improve

Turn the findings into a value creation plan before the exit or funding process begins. The plan supports your valuation and answers the questions a buyer's diligence will ask.

  3. In the process

    Defend

Answer the buyer's diligence with the evidence behind every technical claim. Support your valuation and reduce the risk of late surprises that move the price.

Trust and security

Your IP stays yours.

Encrypted, ephemeral analysis in isolated environments. Your source code is never stored beyond the scan, never seen by people and never used to train models. You decide who sees the results.

Certifications

Independently certified against ISO/IEC 27001 and SOC 2, with controls audited on an ongoing basis.

No model training

Your code is analysed in an encrypted, ephemeral environment. It is never stored beyond the scan and never used for model training.

Built for startups and founders

You choose who sees the report: your board, your investors, a buyer and their advisors, each by name. They see the findings and scores, never your source code. Send buyers a data room-ready report directly from CodeDD.

FAQ

Questions founders ask us.

Does anyone see my source code?

No. Nobody at CodeDD has access to your source code. The analysis runs automatically in isolated environments that are deleted when the scan completes. Your code is encrypted in transit and at rest, and it is never used to train models.

When should we start?

We recommend 6 to 12 months before a sale or funding round. That leaves time to fix what matters and to show the improvement on a second scan. Start closer to 12 to 18 months ahead if the codebase includes legacy systems, or platforms from earlier acquisitions that still need consolidating.

Why does it matter before a buyer looks?

Buyers now run a deeper technical analysis, and during a deal there is rarely time to fix what they find. Late findings reopen the valuation, turn into remediation costs deducted from the price, or give the buyer a reason to delay or walk away.

What else will a buyer ask in technical due diligence?

CodeDD covers most of the technical review: code quality, technical debt, architecture, security, dependencies, licences, team, delivery and AI. A buyer's team will usually add interviews with your technical leaders, and a discussion of your growth plans and how the technology needs to change to support them.

Who sees the report?

Only the people you choose. Reports stay private unless you share them, and you can add your board, investors, a buyer or their advisors by name with role-based access.

How much engineering time does it take?

Very little. One person grants read-only access to your Git host. Engineering time goes into the fixes you decide to make.

Will the audit call our product an AI wrapper?

CodeDD classifies how AI is built and integrated in your code, with the evidence for each classification. A product built on a third-party model can carry a strong business. What a buyer checks is whether the code matches the equity story, and the audit shows you any gap first.

Do you rank our developers?

No. Reporting is at repository and company level, and developer names can be hidden. Investors see where knowledge is concentrated in the codebase.
